COMPOSERX LOYALTY & REWARDS — TERMS AND NOTICE OF FINANCIAL INCENTIVE

1. About the Program

ComposeRx may offer loyalty, rewards, referral, VIP, promotional, or membership programs (the "Programs") from time to time. Participation is voluntary and is subject to these Terms and any additional terms disclosed at enrollment. We may modify, suspend, terminate, or discontinue the Programs, benefits, eligibility, earning, redemption, tiers, or promotional offers at any time, with reasonable advance notice for changes that materially reduce member benefits.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) and have a valid ComposeRx account to enroll in the Programs.

3. Points, Rewards, and Redemption

Points, rewards, discounts, credits, or promotional benefits have no cash value, are not transferable, and may not be sold, exchanged, or assigned. Unredeemed points may be forfeited upon account closure or after periods of inactivity disclosed at enrollment. Points are awarded for qualifying purchases and other engagement activities as described on our Rewards page; certain purchases (e.g., gift cards, taxes, shipping) may not earn points.

4. Fraud, Abuse, and Reseller Activity

We may revoke or deny rewards, referrals, accounts, or Program participation in cases involving fraud, abuse of promotions, excessive returns, reseller activity, or violations of our Terms or policies.

5. Third-Party Administrators

We use third-party vendors (including Yotpo, Smile.io, or equivalent) to administer portions of the Programs.

6. NOTICE OF FINANCIAL INCENTIVE (California Residents)

Under the California Consumer Privacy Act (Cal. Civ. Code §1798.125(b)), where a business offers a financial incentive — including a discount, a benefit, or a different price, rate, or quality of goods or services — in exchange for the collection, retention, sale, or sharing of personal information, the business must provide a Notice of Financial Incentive. This is that Notice.

(a) Summary.Members of the ComposeRx Programs earn points on qualifying purchases and other engagement activities, redeemable for discounts on future orders and other member benefits. To participate, you must create a ComposeRx account, which entails the collection of personal information described in our Privacy Policy.

(b) Categories of personal information implicated.Identifiers (name, email, phone, account ID), Commercial Information (purchase history, redemption activity), and Internet/Network Activity (program-engagement data).

(c) How to opt in and opt out.Enrollment is opt-in: you actively choose to join the Programs by clicking "Join" on our Rewards page or completing the rewards enrollment flow during checkout. You may withdraw from the Programs at any time by clicking "Cancel Rewards Membership" in your account settings or by emailing hello@composerx.com. Withdrawal forfeits any unredeemed points.

(d) Good-faith estimate of the value of consumer data to ComposeRx.ComposeRx estimates the value of consumer personal information to the business as the incremental gross margin generated by Program members above non-members on an annual basis, divided by the number of active members. Based on internal data for the most recently available period, this value is approximately $[X] per member. The financial incentive provided (points earning approximately Y% back in store credit, plus member-only offers) is reasonably related to this value.

(e) Method of calculating value.We compute the value using the following formula: (gross margin from active member orders during the measurement period) – (estimated gross margin a comparable cohort would have generated without membership) ÷ (number of active members during the period). The resulting figure is reviewed at least annually.

(f) Reasonable relationship.We believe the financial incentive is reasonably related to the value of consumer data and is not unjust, unreasonable, coercive, or usurious in any way. We do not condition basic purchase pricing or basic Service access on Program participation.

(g) Non-discrimination.We do not retaliate against any consumer for exercising their CCPA rights. Members and non-members receive the same product quality, service quality, and consumer-protection rights.

7. Referrals, Sweepstakes, and Promotions

From time to time we may offer referral bonuses, contests, sweepstakes, or limited-time promotions. Each such offer is subject to its own Official Rules, which we will publish at the time of the offer and which govern in the event of any conflict with these Terms. We comply with applicable state-specific sweepstakes registration, bonding, and disclosure requirements.

8. Privacy

Information collected in connection with the Programs is handled in accordance with the ComposeRx Privacy Policy.

9. Modification and Termination

We may modify or terminate the Programs or any member's participation at our discretion, with reasonable notice for material changes.
