These User-Generated Content Terms ("UGC Terms") apply to any photograph, video, image, review, testimonial, caption, comment, social-media post, tagged content, survey response, or other content you submit, upload, post, share, tag, or otherwise provide to ComposeRx, or that you make publicly available with a ComposeRx tag or mention (collectively, "UGC").
By submitting UGC, you represent and warrant that:
You are at least 18 years of age.
You own all rights in and to the UGC, or you have all necessary licenses, consents, and authorizations to grant the rights granted below.
Every identifiable individual depicted in the UGC has consented to commercial use of their name, image, likeness, and voice in ComposeRx marketing, advertising, and other promotional activities, including modification, cropping, and use across channels.
The UGC does not infringe any copyright, trademark, right of publicity, right of privacy, or other right of any third party, and does not violate any law, contract, or non-disclosure obligation.
The UGC does not contain confidential information, trade secrets, defamatory content, sexually explicit content, or content harmful to minors.
Subject to your Representations, you grant ComposeRx a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify (only as necessary for formatting and platform consistency), adapt, crop, publish, display, distribute, transmit, and create derivative works from the UGC in connection with marketing, advertising, ecommerce, social media, educational, promotional, and operational purposes, in any media now known or later developed. This license is perpetual with respect to UGC that we have publicly distributed prior to receipt of any removal request; for UGC you ask us to remove, see §6 below.
If your UGC depicts skin condition, medical or dermatological treatment, or pre-/post-treatment imagery, that UGC may constitute "consumer health data" under applicable U.S. state laws. Submission of such UGC is governed by the ComposeRx Consumer Health Data Privacy Policy as well as these UGC Terms. We will obtain separate, explicit consent for the use of skin-condition imagery in marketing where required by law.
We may, in our reasonable discretion, moderate, edit, crop, decline to publish, or remove UGC at any time, including UGC that violates these Terms, applicable law, third-party rights, or our community standards. We have no obligation to display or retain UGC.
You may request that ComposeRx remove UGC you submitted by emailing hello@composerx.com with "Content Removal Request" in the subject line. We will remove the UGC from ComposeRx-controlled channels within 30 days, although we cannot guarantee removal from third-party repostings, archives, or downstream copies.
If you believe UGC posted by another user infringes your copyright, please follow the DMCA notice and takedown procedure set forth in §9 of the ComposeRx Terms of Service. Our Designated Agent for purposes of 17 U.S.C. §512 is contactable at dmca@composerx.com.
Unless you and ComposeRx have entered a separate written agreement (e.g., an Influencer Agreement), ComposeRx is not obligated to compensate you for the use of your UGC. Any complimentary product or discount provided in connection with UGC submission is not contingent on a positive review (see Testimonials Disclaimer).
If ComposeRx provides you with free products, compensation, discounts, or other incentives in exchange for posting UGC, you agree to clearly and conspicuously disclose the material connection using "#ad," "Paid partnership," or a platform-standard tag, in accordance with the FTC's Endorsement Guides.
